Kanesto Terms of Use

Kanesto — Building the trusted infrastructure for real estate in Nigeria.

These Terms of Use ("Terms") are a legal agreement between you and Kanesto Technologies Limited ("Kanesto", "we", "us", "our"), governing your access to and use of the Kanesto website, mobile/web application, and related services (together, the "Platform").

Note to reviewer: This document is drafted to reflect the Platform as it actually operates today. Several details are marked with placeholders ([ ]) because they depend on information — company registration details, registered address, current contact channels — that must be confirmed by Kanesto before this document is published. Clauses marked [LEGAL REVIEW] raise a question a Nigerian lawyer should specifically confirm.

1. Who Kanesto Is

Kanesto is a technology platform operated by Kanesto Technologies Limited, a company incorporated in Nigeria (RC 9883959). Registered office: as recorded with the Corporate Affairs Commission (CAC).

Kanesto provides digital tools that let people who own, manage, seek, or provide services around real estate in Nigeria — houses, apartments, land, commercial space, student accommodation, shared/co-living rooms, hotels and short stays, offices, event halls, and other categories Kanesto configures from time to time — find each other, communicate, document their arrangements, and make and receive payments connected to those arrangements.

Kanesto is a property technology platform. Kanesto is not a bank, is not a licensed financial institution, and does not act as an escrow agent or hold money as a bank would. Payments are processed by Flutterwave and money owed to users is paid out to their own bank accounts (see the Payments and Payout policies).

Kanesto is a marketplace and technology platform. Kanesto is not, and does not become, the landlord, tenant, buyer, seller, agent, property owner, developer, or service provider in any transaction merely because it facilitates that transaction. Where Kanesto itself is a party to a transaction (for example, a fee Kanesto charges for its own service), that is stated explicitly.

2. Acceptance of These Terms

By creating an account, browsing listings, or otherwise using the Platform, you agree to these Terms and to our Privacy Policy, Listing & Marketplace Rules, and Payments, Refunds & Cancellation Policy, each of which is incorporated into these Terms by reference. If you do not agree, do not use the Platform.

If you use the Platform on behalf of a company, agency, or other organisation, you confirm you have authority to bind that organisation to these Terms.

3. Eligibility and Account Requirements

3.1. You must be at least 18 years old and legally capable of entering into binding contracts under Nigerian law to create an account or transact on the Platform.

3.2. You must provide accurate, current information when registering and keep it up to date. You are responsible for all activity that occurs under your account and for keeping your login credentials confidential.

3.3. Kanesto supports multiple account roles and combinations — property seeker/tenant, landlord, agent/agency, developer, service provider, inspector, and others as Kanesto introduces them. A single account may hold more than one role. Each role carries the responsibilities set out below.

3.4. [LEGAL REVIEW] Confirm whether any category of user (e.g. corporate landlords, agencies) should be subject to additional eligibility checks (CAC registration, tax identification) as a condition of listing, beyond the optional verification described in our Verification & Trust Policy.

4. User Responsibilities (All Users)

You agree to:

provide truthful, accurate, and complete information in your profile, listings, applications, bookings, and communications;
use the Platform only for lawful purposes connected to genuine real-estate or service transactions;
respect other users' privacy and not use information obtained through the Platform for any purpose unrelated to your transaction;
comply with all applicable Nigerian laws, including tenancy, property, consumer-protection, and data-protection law, in your dealings on the Platform;
promptly report suspected fraud, scams, or policy violations you become aware of.

5. Landlord Responsibilities

If you list a property as a landlord (or on behalf of one), you confirm that:

you own the property or otherwise have the legal right to let, sell, or otherwise deal with it as listed;
the listing accurately describes the property's location, condition, price, and terms;
you will honour the terms shown to a seeker at the point they pay or sign, and will not demand undisclosed sums outside the Platform's recorded fee structure;
you are responsible for complying with any state-specific tenancy law applicable to your property (see Section 20); Kanesto does not verify compliance with every state's tenancy regulations before a listing goes live.

6. Agent and Agency Responsibilities

If you list or act on a property as an agent, agency, or developer, you additionally confirm that:

you have the property owner's genuine authority to market, negotiate, or transact on that property, and will produce evidence of that authority on request by Kanesto or by a counterparty;
any commission, fee, or split you charge is disclosed clearly to the party paying it before they pay;
you will not misrepresent your relationship to a property, an owner, or a listing.

7. Tenant / Property-Seeker Responsibilities

If you search for, apply for, or take a property through the Platform, you agree to:

provide accurate information in applications (identity, income/affordability information you choose to share, references);
honour the payment and occupancy terms you agree to in a tenancy agreement or booking;
report property condition or safety concerns to the landlord/agent and, where relevant, through the Platform's dispute channel.

8. Service-Provider Responsibilities

If you offer services through Kanesto Services (inspection, moving, cleaning, or other configured services), you agree to:

perform services as described and priced in your listing;
hold any licences or qualifications your service type genuinely requires under Nigerian law;
honour bookings you accept, and use the Platform's cancellation process rather than abandoning a confirmed booking.

9. Listing Accuracy

All listings — property or service — must accurately state price, location, condition, availability, and any material terms. See our Listing & Marketplace Rules for detailed requirements. Misleading listings may be removed and repeat offenders may be suspended.

10. Prohibited Activities

You must not:

commit or attempt fraud, including collecting payment for a property or service you do not have the right to offer;
impersonate another person, business, or Kanesto staff member;
create duplicate or fake listings for a property that does not exist, is not actually available, or belongs to someone else;
post misleading photographs, pricing, or descriptions ("bait" listings designed to attract enquiries under false pretences);
circumvent Kanesto's payment, fee, or verification systems, or solicit another user to transact outside the Platform specifically to avoid them;
scrape, reverse-engineer, or interfere with the Platform's operation or security;
upload unlawful, defamatory, or infringing content;
discriminate unlawfully against a prospective tenant, buyer, or service recipient on a ground prohibited by applicable Nigerian law.

11. Fraud, Scams, and Impersonation

Reports of suspected fraud, scam listings, or impersonation are reviewed under our Listing & Marketplace Rules and Verification & Trust Policy. Kanesto may suspend accounts and listings pending investigation and may report credible criminal conduct to Nigerian law-enforcement authorities.

12. Intellectual Property

12.1. The Platform's software, design, trademarks (including "Kanesto"), and platform-generated content belong to Kanesto or its licensors. You may not copy, modify, or redistribute them without written permission.

12.2. User-generated content: you retain ownership of content you upload (listing photos, descriptions, messages, reviews). By posting it, you grant Kanesto a non-exclusive, worldwide licence to host, display, and distribute that content solely for operating and promoting the Platform. You confirm you have the right to grant this licence for everything you upload.

12.3. Kanesto may remove content that violates these Terms or applicable law.

13. Communications

Kanesto may send you service communications (transaction confirmations, security alerts, policy updates) related to your account and use of the Platform. Marketing communications are governed by the consent and opt-out choices described in our Privacy Policy.

14. Verification

Kanesto offers optional identity, property, and business verification described in our Verification & Trust Policy. Verification indicates that Kanesto has completed the stated verification process for the item shown — it is not a guarantee of a person's identity, a property's title, or the safety of any transaction.

15. Payments

15.1. Payments on the Platform are processed through Flutterwave, an independent, regulated Nigerian payment service provider. Kanesto does not store your card details; Flutterwave handles card and payment-instrument data directly. See our Payments, Refunds & Cancellation Policy for how specific payment flows work.

15.2. Fees currently charged by Kanesto (platform fees, service fees, listing fees where applicable) are shown to you before you pay, and may be updated from time to time; the applicable fee is the one displayed to you at the time of your transaction.

16. Cancellations and Refunds

Cancellation and refund terms depend on the type of transaction (rent payment, purchase, service booking, listing fee) and are set out in our Payments, Refunds & Cancellation Policy.

17. Payouts

Users owed money through the Platform (for example, a landlord's rent proceeds or an agent's commission) may request a withdrawal to their Nigerian bank account, reviewed and processed as described in our Payout & Withdrawal Policy.

18. Disputes

18.1. If a disagreement arises between users (e.g. over a listing's accuracy, a deposit, or a service outcome), Kanesto's support and moderation team may assist in good faith but is not a court, arbitrator, or ombudsman and cannot compel either party to act.

18.2. [LEGAL REVIEW] Confirm what dispute-resolution mechanism (mediation, reference to a named ADR body, court jurisdiction) should be stated here, and whether it should differ for consumer users versus commercial users (agencies, developers).

19. Suspension and Termination

19.1. Kanesto may suspend or terminate an account or remove a listing/booking that violates these Terms, applicable law, or where Kanesto reasonably believes doing so is necessary to prevent fraud, harm, or legal exposure. Where reasonably possible, Kanesto will explain the reason.

19.2. You may close your account at any time; this does not cancel obligations (payment, tenancy, or service commitments) you already entered into with another user or with Kanesto.

20. Limitation of Kanesto's Role

20.1. Kanesto is a technology marketplace. Kanesto does not inspect, own, warrant, or guarantee the accuracy, safety, legality, or fitness of any property, listing, or service offered by another user, except where Kanesto has expressly and in writing agreed to provide a specific service (e.g. a paid inspection). Kanesto is not a party to the tenancy, sale, or service agreement formed between users.

20.2. This limitation does not exclude or restrict any liability that cannot lawfully be excluded or restricted under Nigerian law, including under the Federal Competition and Consumer Protection Act 2018, and does not exclude liability for Kanesto's own fraud, wilful default, or gross negligence.

20.3. [LEGAL REVIEW] Confirm the precise scope of permissible limitation-of-liability language for a platform of this kind under the FCCPA and general contract principles, and that this clause is not drafted more broadly than Nigerian law allows.

21. Third-Party Services

The Platform integrates third-party services, including Flutterwave (payments) and, for payouts, transfers processed via Kuda Business. Your use of those services may also be subject to their own terms. Kanesto is not responsible for the acts or omissions of independent third-party providers, except as set out in Section 20.2.

22. Changes to These Terms

Kanesto may update these Terms from time to time. Material changes will be notified through the Platform (e.g. a banner, email, or in-app notice) before they take effect. Continued use after a change takes effect means you accept the updated Terms.

23. Governing Law and Jurisdiction

These Terms are governed by the laws of the Federal Republic of Nigeria. [LEGAL REVIEW] Confirm the specific courts/jurisdiction to be named here, and whether any state-specific tenancy law (which varies by state — see our Legal & Regulatory Review Memorandum) requires a carve-out for property-specific disputes.
